TRANSACTION ADVISORY SERVICES FOR THE PARTIAL COMMERCIALIZATION OF THE RIVER BASIN DEVELOPMENT AUTHORITIES (RBDAS)

REQUEST FOR EXPRESSION OF INTEREST

The National Council on Privatization (NCP) through its Secretariat, the Bureau of Public Enterprises (BPE) in collaboration with the Federal Ministry of Water Resources intends to appoint advisers for the partial commercialization of the River Basin Development Authorities (RBDAs)
There are 12 RBDAs spread across the country as follows:

Product/Services
The RBDAs have the mandate to develop and manage the country’s water resources with a view to:
• Harnessing the nation’s water resources, both ground and surface water resources for multipurpose use with emphasis on irrigation water for farming and agriculture;
• Undertaking schemes on erosion and flood control for watershed management;
• Constructing and maintaining water facilities and additional infrastructure within the basin (e.g. dams, roads, dykes, wells, irrigation and drainage systems);
• Allocating water among users and sectors (domestic and industrial/commercial); and
• Operating water legislation and control measures in the basins.

Terms of Reference (ToR)
The main objective of the advisory service is to restructure and reposition the RBDAs for partial commercialization operations.
The Adviser is expected to:
• Produce a comprehensive blueprint for commercialization of the RBDAs;
• Assets including status of title documents of their lands;
• Carry out valuation of all verified assets of the RBDAs;
• Design and propose a new institutional structure for the RBDAs that would allow them to operate in a commercially sustainable manner;
• Review all existing policies, laws and regulations that govern the water sector as a whole paying particular attention to laws and provisions that could facilitate the partial commercialization of the RBDAs and that which could constrain the implementation of PPPs and advise on their harmonization;
• Identify viable business units and projects that could be undertaken as PPP projects for the RBDAs;
• Design the staffing plan to restructure, reorganize and deploy the staff according to the corporatization process and new business models;
• Design administrative procedures, accounting manuals and other organizational policies to support the activities of the RBDAs under the new dispensation;
• Design performance agreements with SMART targets that would govern the relationship between the RBDAs and FGN (sector ministries, MOFI and the BPE) including proper delineation of the roles of the Ministry, RBDAs and Private Sector Partners;
• Implement in conjunction with the BPE the partial commercialization of the 12 RBDAs; and
• Advise on any other issues that would drive the profitable operation of the RBDAs.

Submission of Expression of Interest (EOI)
Prospective Advisers should submit EOIs detailing the following information as basis for short-listing:
• Profile of firms/consortium including ownership structure and role of each corporate entity with full contact details of each firm;
• Details of direct experience advising governments in restructuring and commercialization/PPP transaction, particularly in the water sector;
• International track record of successful closing of commercialization/PPP projects, particularly in the water/agricultural sector;
• Description of roles played in at least five (5) water/agric. Sector’s transactions closed in emerging markets during the past seven (7) years (at least one of which should be in the past three (3) years);
• Relevant experience in reform of water/agricultural sectors facility;
• Experience of working in Nigeria and/or sub-Sahara Africa;
• Names and Curriculum Vitae of all Staff who will be involved in the assignment including qualification and individual experience in handling similar assignments;
• Copies of unabridged financial reports for the last three years (2014, 2015 & 2016);
• Experience working in Nigeria and/or sub-Sahara Africa; and
• Evidence of registration with relevant institutions including BPE and Bureau of Public Procurement (BPP).

Consultants may associate with other firms in the form of a Joint Venture or a sub-consultancy to enhance their qualifications.
Expression of interest must be submitted in one original and five (5) copies in sealed packages clearly marked “(Expression of Interest for the Partial Commercialization of the RBDAs)” and delivered to the address below not later than 1700hours (GMT + 1) on Friday, October 13, 2017.
